These Terms of Use (“Terms”) govern your access to and use of rifeplayer.com, app.rifeplayer.com, the RifePlayer mobile and desktop applications, and any related services (collectively, the “Service”) provided by RifePlayer (“RifePlayer,” “we,” “us,” or “our”). By creating an account or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent that you are 18 or older and have the legal capacity to enter into these Terms.

2. Accounts

To use most features of the Service you must create an account. We use passwordless email one-time passcode (OTP) authentication; you are responsible for keeping your email account and any active sessions secure. You agree to provide accurate registration information and to notify us promptly through our contact form of any unauthorized use of your account. You are responsible for all activity that occurs under your account.

3. Subscriptions, Billing, and Auto-Renewal

RifePlayer offers a free tier and paid subscriptions, including Monthly, Annual, and Lifetime plans. Current pricing is shown on rifeplayer.com and within the app and may change from time to time.

• Web subscriptions are billed through Stripe. By subscribing you authorize us and Stripe to charge your payment method on a recurring basis until you cancel.
• Apple App Store subscriptions (if applicable) are billed through your Apple ID and governed by Apple’s standard subscription terms. Subscriptions automatically renew unless auto-renewal is turned off at least 24 hours before the end of the current period. You can manage and cancel App Store subscriptions in your Apple ID account settings.
• Renewals. Monthly and annual plans renew automatically at the then-current price for the same term. We will send a receipt or renewal notice to your account email.
• Cancellation. You may cancel at any time through the in-app billing portal (web) or through Apple ID settings (App Store). Cancellation takes effect at the end of the current billing period; you retain access to paid features until then.
• Refunds. Except where required by law, fees are non-refundable. Apple App Store purchase refunds are handled by Apple and subject to Apple’s refund policies.
• Free trials. If we offer a free trial, the trial converts to a paid subscription at the end of the trial period unless you cancel before it ends.
• Taxes. Prices may exclude applicable taxes, which will be added at checkout where required.

4. License to Use the Service

Subject to your compliance with these Terms, RifePlayer grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use. You may not:

• Copy, modify, distribute, sell, lease, or sublicense any part of the Service.
• Reverse engineer, decompile, or attempt to extract the source code of the Service, except to the extent applicable law expressly permits.
• Use the Service for any commercial purpose without our prior written consent.
• Remove or alter any proprietary notices.
• Use automated means (bots, scrapers) to access the Service except as expressly permitted.
• Use the Service to violate any law or the rights of others.
• Interfere with or disrupt the Service or attempt to gain unauthorized access to any account, system, or network.

5. User Content

You may create programs, playlists, favorites, and other content within the Service (“User Content”). You retain ownership of your User Content. You grant RifePlayer a worldwide, royalty-free license to host, store, reproduce, and display your User Content solely for the purpose of operating and providing the Service to you. You represent that you have the rights necessary to grant this license and that your User Content does not infringe the rights of any third party or violate any law.

6. Acceptable Use

You agree not to use the Service to:

• Transmit unlawful, harassing, defamatory, or infringing content.
• Distribute malware or engage in activity intended to harm the Service or its users.
• Attempt to bypass rate limits, paywalls, authentication, or other technical protections.
• Use the Service in a way that could damage, disable, or impair the Service or interfere with other users’ enjoyment of it.

We may suspend or terminate accounts that violate these rules.

7. Medical Disclaimer

RifePlayer provides experimental frequency programs for personal exploration and is not a medical device. The Service is not intended to diagnose, treat, cure, mitigate, or prevent any disease or medical condition. Statements made on the Service have not been evaluated by the U.S. Food and Drug Administration or any other regulatory authority. Always consult a qualified healthcare professional before starting any new wellness practice, and never disregard or delay seeking medical advice because of something you read or heard via the Service. Use of the Service is at your own risk.

8. Intellectual Property

The Service, including its software, design, logos, text, audio engine, frequency program library, and other content (excluding User Content), is owned by RifePlayer or its licensors and is protected by copyright, trademark, and other intellectual property laws. Except for the limited license granted in Section 4, no rights are granted to you.

The “RifePlayer” name and logo are trademarks of RifePlayer. You may not use them without our prior written permission.

9. Third-Party Services

The Service relies on third-party providers including Stripe (payments), Cloudflare (hosting and infrastructure), and, where applicable, the Apple App Store (distribution and in-app purchases). Your use of those services is also subject to their respective terms. We are not responsible for third-party services we do not control.

10. Beta Features

We may offer beta or experimental features (for example, at beta.rifeplayer.com). Beta features are provided “as is,” may be unstable or change at any time, and may not function as expected. We may collect additional diagnostic information from beta features to improve them.

11. Termination

You may stop using the Service and delete your account at any time through our contact form or using in-app account deletion if available. We may suspend or terminate your access to the Service, with or without notice, if you breach these Terms, if required by law, or if continued provision of the Service is no longer commercially viable. Sections that by their nature should survive termination (including ownership, disclaimers, limitations of liability, and dispute resolution) will survive.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT FREQUENCY PROGRAMS WILL PRODUCE ANY PARTICULAR RESULT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RIFEPLAYER AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM AND (B) USD $50.

14. Indemnification

You agree to indemnify and hold harmless RifePlayer and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your User Content, your use of the Service, or your violation of these Terms or applicable law.

15. Changes to the Service or Terms

We may modify or discontinue the Service, or any part of it, at any time. We may also update these Terms from time to time. If we make material changes, we will notify you by email or by a prominent notice on the Service at least 30 days before the changes take effect. Continued use after the effective date constitutes acceptance.

16. Governing Law and Disputes

These Terms are governed by the laws of the United States and the State of California, without regard to conflict of law principles. You agree that any dispute arising from these Terms or the Service will be resolved exclusively in the state or federal courts located in California, and you consent to personal jurisdiction in those courts. Nothing in this section limits any non-waivable rights you may have under your local law.

17. Apple App Store Additional Terms

If you obtained the RifePlayer app through the Apple App Store, the following additional terms apply:

• These Terms are between you and RifePlayer, not Apple. Apple is not responsible for the app or its content.
• The license granted in these Terms is limited to a non-transferable license to use the app on any Apple-branded device that you own or control as permitted by Apple’s Usage Rules.
• Apple has no obligation to provide any maintenance or support for the app.
• In the event of any failure of the app to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the app to you. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app.
• Apple is not responsible for addressing any product, intellectual property, or other claims relating to your possession or use of the app.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

18. Miscellaneous

These Terms are the entire agreement between you and RifePlayer regarding the Service and supersede any prior agreements. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any right or provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
